Agreement to Terms

By accessing or using Linky, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using or accessing this service.

Use License

Permission is granted to temporarily use Linky for personal, non-commercial transitory viewing only. This is the grant of a license, not a transfer of title, and under this license you may not:

  • Modify or copy the materials
  • Use the materials for any commercial purpose or for any public display
  • Attempt to reverse engineer any software contained on Linky
  • Remove any copyright or other proprietary notations from the materials

User Accounts

You are responsible for maintaining the confidentiality of your account and password. You agree to accept responsibility for all activities that occur under your account.

Definitions

"Automated access" means use of any script, scraper, crawler, bot, automated agent, or similar technology to access, extract, collect, copy, index, store or otherwise interact with content on the Site, in whole or in part, without human review per request.

Prohibited Use – Automated / AI-driven Content Collection

You may not use Automated Access to:

  • Copy, scrape, mine or crawl content on the Site for the purpose of:
    • Training, fine-tuning or otherwise feeding any machine learning, neural network, generative-AI, or artificial-intelligence model or system
    • Using content as input for AI systems (e.g. retrieval-augmented generation, summarization, indexing, republishing, or any derivative output)
  • Store or cache more than a reasonable number of pages per hour unless explicitly permitted in writing
  • Republish, redistribute, rehost, or represent Site content (in whole or part) outside the Site, without prior written authorization

Authorization Only Via robots.txt or Explicit Permission

This prohibition applies unless and until a crawler or bot is:

  • Explicitly whitelisted via our robots.txt
  • Operating a recognized user-agent consistent with that whitelist

Rights Reservation

We reserve all rights not explicitly granted. Unauthorized automation in violation of these Terms is a breach and may result in immediate termination of access, legal action, or other remedies.

Consent & Enforcement

By accessing or using the Site, including by creating an account, browsing, or interacting, you acknowledge you have read, understand, and agree to these restrictions.

We may enforce these provisions by technical measures (rate-limiting, CAPTCHAs, bot detection), or legal means (cease-and-desist, injunctive relief, damages).

General Prohibited Uses

You may not use our service:

  • In any way that violates any applicable law or regulation
  • To transmit any malicious code or viruses
  • To impersonate or attempt to impersonate another user
  • To engage in any automated use of the system
  • To harass, abuse, or harm other users

Content

You retain ownership of any content you submit to Linky. By submitting content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, and distribute your content solely for the purpose of providing our service.

Termination

We may terminate or suspend your account immediately, without prior notice, for conduct that we believe violates these Terms of Service or is harmful to other users, us, or third parties.

Usage Limits

To maintain platform integrity and prevent abuse, we enforce reasonable usage limits on all accounts. These limits include, but are not limited to:

  • Link creation is limited to 100 new links per week per account
  • Excessive automated or bulk operations may be rate-limited
  • API access (where applicable) is subject to fair use policies

Accounts that exceed these limits or engage in patterns of abuse (including but not limited to spam, link farming, or automated bulk operations) may be suspended or terminated without prior notice. We reserve the right to modify these limits at any time to ensure the quality and reliability of our service for all users.

MARKETPLACE & DIGITAL PRODUCT SALES VIA STRIPE CONNECT

The following terms apply to Creators selling Digital Products and Customers purchasing Digital Products through Linky's marketplace, powered by Stripe Connect.

1. Definitions

  • "Creator" means a platform user who lists and sells digital products via Linky.
  • "Customer" means a purchaser of a Creator's digital product.
  • "Digital Product" means any non-physical, downloadable or streamable product (e.g. ebook, audio, video, template, digital art, membership access) sold on Linky.
  • "Payouts" means funds transferred from Customer payment to Creator, after payment-processor (Stripe) and any platform fees.

2. Marketplace Role & Liability Disclaimer

  • Linky acts solely as a marketplace/facilitator for payments; Creators are responsible for the listing, licensing, description, delivery and support of all Digital Products.
  • Linky does not guarantee the quality, legality or suitability of any Digital Product. All sales are "as-is". Buyer assumes all risk.
  • Linky disclaims liability for any claims, damages or disputes arising from a Creator's product or its use.

3. Intellectual Property & Licensing Terms

  • When purchasing a Digital Product, Customer receives only a limited, non-exclusive, non-transferable license to use the product as described.
  • Customer may not redistribute, resell, sublicense, or publicly re-share the Digital Product unless explicitly permitted.
  • Creator must warrant that all Digital Products they list do not infringe third-party IP rights.

4. Refunds, Returns & Delivery Policy

  • Digital Products are delivered electronically (download or stream).
  • Unless separately provided by the Creator, all sales are final. No obligation for refunds exists except where required by law, or in cases of non-delivery or fraud.
  • Creators must clearly disclose refund/return policy before purchase.

5. Taxes, Compliance & Fees Disclosure

  • Creators are responsible for all tax, VAT, or other statutory obligations arising from sales.
  • Linky will collect payment-processor fees (Stripe fees) if any; Creators bear those fees and any associated chargeback costs.
  • Buyers and Creators are informed during checkout about total price, fees, and who is responsible for what.

6. Payment & Payout Terms (via Stripe Connect)

  • By using Linky's service, Creators acknowledge and accept that payments will be processed via Stripe Connect under Stripe's terms. See Stripe Connected Account Agreement.
  • Linky does not guarantee payout timing or amount; payouts are subject to Stripe's policies and any holds, reserves, or processing delays imposed by Stripe.
  • Linky is not responsible for disputes, chargebacks or fraud risk; those must be handled by the Creator.

7. Prohibited Content & Use Policy

  • Creators may not list unlawful content or content that violates third-party rights.
  • Creators must comply with all applicable laws including export controls, data privacy laws, and intellectual property law.
  • Linky reserves the right to remove any listing or terminate accounts for violation without liability.

8. Limitation of Liability & Indemnification

  • Creators indemnify Linky (and its affiliates) against any liability, losses or claims arising from their Digital Products, customer complaints, IP infringement, fraud, or regulatory violations.
  • Linky's total liability (if any) is capped at the amount of fees paid to Linky in connection with that transaction or sale, not the full sale price or any claimed damages.

9. Dispute Resolution & Governing Law

  • Any dispute between Customer and Creator must be resolved between them; Linky is not a party.
  • Disputes regarding platform policies or payout must follow arbitration or jurisdiction clause defined elsewhere in these Terms of Service.

10. Right to Modify Terms & Termination

  • Linky may modify these Digital Product / Marketplace terms at any time. Continued use constitutes acceptance.
  • Linky reserves the right to suspend or terminate any Creator account or listing for violations, suspicious activity, or risk of legal exposure.

Disclaimer

The materials on Linky are provided on an 'as is' basis. We make no warranties, expressed or implied, and hereby disclaim all other warranties including, without limitation, implied warranties of merchantability or fitness for a particular purpose.
